Terms and Conditions<\/strong><\/p>\n<p><strong>1. Introduction<\/strong><\/p>\n<p>Welcome to izihelp.com, a Contact Center as a Service (CCaaS) provided by IZISoft Solutions Inc. (“IZISoft”, “we”, “us”, or “our”). By accessing or using our services (“Service”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use our Service.<\/p>\n<p><strong>2. Definitions<\/strong><\/p>\n<ul>\n<li><strong>“Service”<\/strong>: The contact center services and any related products provided by izihelp.com.<\/li>\n<li><strong>“User”<\/strong>: Any individual or entity that uses the Service.<\/li>\n<li><strong>“Agreement”<\/strong>: These Terms and Conditions.<\/li>\n<\/ul>\n<p><strong>3. Account Registration and Security<\/strong><\/p>\n<p>3.1 <strong>Registration<\/strong>: You may be required to create an account to access certain features of the Service. You agree to provide accurate, current, and complete information and to update this information to keep it accurate, current, and complete.<\/p>\n<p>3.2 <strong>Account Security<\/strong>: You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.<\/p>\n<p><strong>4. Use of Service<\/strong><\/p>\n<p>4.1 <strong>License<\/strong>: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service subject to the terms of this Agreement.<\/p>\n<p>4.2 <strong>Prohibited Activities<\/strong>: You agree not to:<\/p>\n<ul>\n<li>Use the Service for any illegal purpose or in violation of any local, state, national, or international law.<\/li>\n<li>Violate or infringe the intellectual property or other rights of third parties.<\/li>\n<li>Interfere with, disrupt, or attack any service or network connected to the Service.<\/li>\n<\/ul>\n<p><strong>5. Fees and Payment<\/strong><\/p>\n<p>5.1 <strong>Service Fees<\/strong>: Certain features of the Service may require payment of fees. You agree to pay all applicable fees in connection with your use of the Service.<\/p>\n<p>5.2 <strong>Billing<\/strong>: Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.<\/p>\n<p>5.3 <strong>Changes to Fees<\/strong>: We may change the fees for the Service at any time. We will provide notice of any changes before they become effective.<\/p>\n<p><strong>6. Intellectual Property<\/strong><\/p>\n<p>6.1 <strong>Ownership<\/strong>: IZISoft retains all rights, title, and interest in and to the Service and all related intellectual property.<\/p>\n<p>6.2 <strong>User Content<\/strong>: By submitting any content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the Service.<\/p>\n<p><strong>7. Privacy<\/strong><\/p>\n<p>Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and disclose information about you.<\/p>\n<p><strong>8. Limitation of Liability<\/strong><\/p>\n<p>To the fullest extent permitted by applicable law, IZISoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the Service; (ii) any unauthorized access to or use of our servers and\/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service; and\/or (vi) the defamatory, offensive, or illegal conduct of any third party.<\/p>\n<p><strong>9. Indemnification<\/strong><\/p>\n<p>You agree to indemnify and hold harmless IZISoft and its affiliates, officers, agents, employees, and partners from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.<\/p>\n<p><strong>10. Governing Law<\/strong><\/p>\n<p>These Terms will be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.<\/p>\n<p><strong>11. Dispute Resolution<\/strong><\/p>\n<p>11.1 <strong>Governing Law<\/strong>: These Terms are governed by the laws of the Provincial of Ontario, Canada.<\/p>\n<p>11.2 <strong>Arbitration<\/strong>: Any disputes arising out of or in connection with these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.<\/p>\n<p>11.3 <strong>Class Action Waiver<\/strong>: You agree that any disputes will be resolved on an individual basis, and you waive your right to participate in a class action lawsuit or class-wide arbitration.<\/p>\n<p><strong>12. Termination<\/strong><\/p>\n<p>12.1 <strong>By User<\/strong>: You may terminate your account at any time by following the instructions on the Service.<\/p>\n<p>12.2 <strong>By IZISoft<\/strong>: We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.<\/p>\n<p>12.3 <strong>Effect of Termination<\/strong>: Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.<\/p>\n<p><strong>13. Changes to Terms<\/strong><\/p>\n<p>We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.<\/p>\n<p><strong>14. Miscellaneous<\/strong><\/p>\n<p>14.1 <strong>Entire Agreement<\/strong>: These Terms constitute the entire agreement between you and IZISoft regarding the use of the Service, superseding any prior agreements between you and IZISoft relating to your use of the Service.<\/p>\n<p>14.2 <strong>Severability<\/strong>: If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions will remain in full force and effect.<\/p>\n<p>14.3 <strong>Waiver<\/strong>: No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term, and IZISoft\u2019s failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.<\/p>\n<p><strong>15.
